Welcome to Apex Tech Guides, LLC ("we," "us," "our," or "Apex Tech Guides"). These Terms of Service ("Terms") govern your access to and use of our website, services, consulting, coaching, AI-powered product development assistance, subscription-based enterprise software products, and any related offerings (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. BY ACCESSING, BROWSING, BOOKING AN APPOINTMENT, SUBSCRIBING, OR OTHERWISE USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR SERVICES.

We provide IT consulting, product development guidance (including AI-assisted rapid prototyping), software engineering/product management coaching, and subscription-based enterprise software targeted at service industries, construction companies, and manufacturing institutions.

WE MAKE NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICES, RESULTS, OUTCOMES, PERFORMANCE, ACCURACY, RELIABILITY, TIMELINESS, COMPLETENESS, OR SUITABILITY FOR ANY PURPOSE.

• We do not guarantee any specific business results, revenue increases, efficiency gains, cost savings, successful product launches, career advancements, or other outcomes from our consulting, coaching, prototypes, or software products.
• AI tools and rapid prototyping are experimental and evolving; outputs may contain errors, hallucinations, or require significant human review and modification.
• Subscription software is provided "as is" without warranty of uninterrupted access, error-free operation, or fitness for your particular needs.
• Coaching and consulting sessions are educational and advisory only—not professional legal, financial, engineering, or certified advice.

ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

IN NO EVENT SHALL APEX TECH GUIDES, LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (including but not limited to loss of profits, data, goodwill, business interruption, or other intangible losses), even if advised of the possibility of such damages.

Our total liability to you for any claim arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months immediately preceding the claim (or, if no payment was made, $100 USD).

You agree to use the Services at your own risk and assume full responsibility for any decisions made based on our advice, prototypes, software, or coaching.

• You are solely responsible for verifying, testing, and validating any prototypes, code, recommendations, software outputs, or strategies we provide.
• You must comply with all applicable laws, including data privacy, intellectual property, and industry regulations (e.g., construction safety standards, manufacturing compliance).
• For subscription products: You are responsible for your data input, backups, security, and proper use. We are not liable for data loss, breaches due to your actions, or misuse.

Any prototypes, custom code snippets, coaching materials, or software we provide remain our property or licensed to you on a limited, non-exclusive basis for your internal use only. You may not resell, reverse-engineer, or distribute them without written permission.

• All bookings are subject to availability and our approval.
• Payments are non-refundable unless otherwise stated at booking.
• We reserve the right to cancel or reschedule sessions.

• Subscriptions are billed monthly/annually as selected.
• We may modify features or pricing with notice.
• No guarantees on uptime, bug fixes, or feature requests.

We may update these Terms at any time. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of the State of Ohio, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in courts located in Lorain County, Ohio.
